ULTRA MOBILE is seeking a talented Counsel to join the Business & Legal Affairs! Individual reports to Senior Director, Legal. Role is remote - must reside in the United States.
ABOUT THE ROLE
Reporting to the Senior Director, Legal, the Counsel will work within a ‘shared services’ model, supporting the Mint Mobile and Ultra Mobile brands. The role will be responsible for multiple areas, including transactional work and general compliance with applicable laws and regulations. The role will manage many aspects of vendor and client contracts, including drafting, reviewing, revising, redlining, and negotiating. In addition, this Counsel will create internal policies and procedures for both internal shared services teams (i.e., Finance, Product, etc.) and the broader business teams such as Sales, Marketing, and Channel Development. In addition, the Counsel will be in charge of ensuring that the company complies with relevant laws and policies (e.g., FCC, TCPA, FTC, COPA, ACP, etc.). This includes staying abreast of developments, interpreting laws in the context of the company’s activities and ensuring that key personnel are in possession of necessary information. The Counsel will also design and implement company policies to maximize compliance, and to efficiently detect and correct any violations.
Your usual day of awesomeness includes:
- Review company policies and practices on a regular basis to ensure that all are in compliance.
- Review proposed action plans to ensure compliance.
- Develop and implement mechanisms for detecting, reporting and correcting violations so as to ensure minimal impact and optimal correction.
- Recommend corporate policies and strategies that promote the company’s goals while complying with regulations.
- Prepare for the possibility of audits and investigations by developing strategies, maintaining records, and designing procedures.
- Implement changes in company policy to ensure compliance.
- Draft, review, and negotiate a variety of complex contracts, including vendor, consulting, marketing, licensing, technology, master services agreements, reseller agreements, and non-disclosure agreements.
- Draft and update model standard templates and clauses.
- Partner cross-functionally with other departments within the company in the review of complex contracts to adequately protect the company's interests and mitigate risks.
- Manage and ensure compliance with regulatory requirements, including providing legal assistance with regulatory and compliance initiatives.
- Communicate legal risks in complex contracts to all levels of the Company.
- Prepare training materials for internal clients on contract principles, negotiation strategy and general procedures.
- Work with Finance, Tech Ops, Marketing, and business clients to manage and supervise the contract approval process.
- Work closely with other Counsel and Contract Managers on any commercial terms in all contracts.
- Provide support to develop and improve standard contractual documents, templates, policies, and procedures.
- Keep informed of relevant legal developments as they occur and analyze the applicability to the company’s activities and objectives.
- Completes legal project tickets as assigned and meets corresponding deadlines.
- Other duties as assigned, such as support of consumer disputes and litigation.
WHAT YOU BRING
- Licensed to practice law; California or New York preferred.
- 7+ years of relevant experience as an attorney working for a law firm or as in-house counsel; telecommunications experience preferred.
- Experienced in a wide range of corporate transactional matters and general compliance support.
- Experienced in legal matters around media, consumers, intellectual property, sweepstakes/contests, and rights of publicity laws and regulations.

In support of the Equal Pay for Equal Work Act, the range of starting pay for this role is $150,000 - $160,000.
