We are looking for an experienced, talented and detail-oriented Senior Contract Specialist that thrives in a high-volume, fast-paced, high-performing, and collaborative environment. The successful candidate will work with the company’s in-house counsel to review, negotiate and manage a variety of agreements that relate to the ordinary course of a software and services company.
Your day to day would be split amongst

- Full lifecycle contract management from intake through signature and filing
- Reviewing, drafting and negotiating a variety of inbound and outbound commercial contracts: master services agreements, software as a service agreements, licensing agreements, data protection agreements, non-disclosure agreements, independent contractor, agreements, vendor agreements, statements of work, order forms, and purchase orders
- Proofreading, editing and fact-checking contracts and request for proposal responses for completeness, accuracy and consistency
- Utilizing department playbooks, processes and procedures and apply to work product
- Collaborating with other teams to manage projects and department initiatives
- Working with in-house counsel and proposal team to ensure high quality work product
- Communicating with stakeholders internal and external
- Following processes and organizational systems to stay organized and easily retrievable
- Staying up to date with information about the evolution of our products, company, and playbook requirements for legal reviews
Responsibilities

- Responsible for assisting with full lifecycle contract management from intake through signature and filing.
- Review, draft and negotiate a variety of inbound and outbound commercial contracts consistent with the company’s contracting and quality standards including, but not limited to: master services agreements, software as a service agreements, licensing agreements, data protection agreements, non-disclosure agreements, independent contractor. agreements, vendor agreements, statements of work, order forms, and purchase orders.
- Collaborate and interface internally and externally to accomplish department and company goals.
- Proofread, edit and fact-check contracts and request for proposal responses for completeness, accuracy and consistency to ensure top quality of all contracts prior to execution.
- Maintain a thorough understanding of department playbooks, processes and procedures and ability to independently and consistently apply to work product.
- Work closely with internal stakeholders to identify, incorporate, and initiate process improvements based on evolving contract and project demands.
- Contribute to the development, improvement and maintenance of contract templates, playbooks, and other internal legal guidance documents and department tools to create efficiency.
- Legal research and memo drafting as directed to assist with in-house legal issues
Job Requirements

- A Bachelor’s Degree is required; a Paralegal Certificate a plus
- Minimum of 6 years of experience as a contract specialist, contract manager, corporate paralegal, or similar role(s).
- Excellent organizational skills
- Experience drafting, proofreading, negotiating commercial contracts with strong analytical skills
- Ability to solve problems and use good business judgment
- Ability to be discreet in dealing with sensitive information and maintaining confidentiality
- Project management experience is a plus
- Experience with data privacy issues is a strong plus
