Purpose of Role
Lead and oversee commercial legal work relating primarily to technology infrastructure and applications; digital and e-commerce platforms, tools and technologies; and innovation/development of products, fabrics and materials, with support of other types of commercial and transactional projects as needed. Provide legal advice and counsel to various internal UA teams globally, including structuring, drafting, reviewing, analyzing, negotiating and interpreting a wide range of contracts and related documentation; identifying and addressing legal and commercial issues; and supporting on overall strategy and project execution.
Your Impact
- Serve as lead commercial counsel for the Office of Chief Technology Officer (OCTO) and, in collaboration with the Strategic Procurement team and other functional leaders, oversee delivery of all commercial and transactional legal services to the OCTO team.
- Together with UA’s Legal IP team, support the Innovation, Testing and Development team within the Office of Chief Product Officer (OCPO) on commercial and transactional projects and initiatives.
- Provide advice and counsel on structuring, development and implementation of, contract interpretation, and risk management in, and lead negotiation of, general complex commercial transactions, including master information technology services agreements; software license agreements; SaaS agreements; website and program terms and conditions; joint development agreements; innovation collaboration agreements; statements of work; service level agreements; amendments; terminations; RFP evaluations and responses; and supporting documentation.
- Develop deep understanding of UA’s various vendor and third-party relationships and overall IT and innovation ecosystems and pipelines, with a view toward serving as a both a strategic and transactional partner to business clients. Serve as a trusted partner in defining business strategy, identifying business risks and implementing company policies and procedures.
- Collaborate with business teammates from all areas of the company and all regions with a range of seniority, subject matter experts, risk associates, leadership, and outside counsel, as necessary, including Privacy, Strategic Procurement, Tax, Risk and Accounting/Finance.
- Understand and ensure adherence to internal policies and procedures, and client contractual commitments, to continuously ensure that contract structure, drafting, negotiation, and execution comply with such policies and commitments. Identify and escalate issues and provide risk-based recommendations and advice within strategic business conversations.
- Provide legal advice and counsel on issues arising from existing contracts, including compliance with contract terms, termination or renewal. Draft resulting notice letters, amendments and termination letters. Advise and assist with negotiations to resolve contract disputes with third parties.
- Support and educate business teammates on issues associated with technology, e-commerce and innovation, including data privacy; end user terms and conditions; and intellectual property development, ownership and licensing.
- Develop and maintain contract templates, support in development of business and legal processes and implement internal policies to help scale the business and ensure alignment to current business needs, policy demands and legal trends.
- Collaborate with other members of the Legal Team and Procurement in connection with contract terms and relationships as necessary.
- Manage outside counsels engaged to assist with discrete legal matters.
Qualifications
- Bachelor's degree with typically 15 years of relevant experience OR Master's degree with typically 13 years of relevant experience
- Candidate must have 10+ years of firm and/or in-house experience. In-house commercial/contract experience with a multinational company is a plus, as is significant experience working on technology and/or innovation contracts and strong knowledge of commercial data privacy/security and intellectual property issues.
- Law degree from a reputable, accredited university required. Candidate must be admitted to practice law and in good standing in a jurisdiction within the U.S., with admission or qualification to practice in the State of Maryland preferred.
- Strong experience in negotiating and interpreting complex contracts and advising on technology, e-commerce and product innovation matters.
- Superior analytic, writing, editing and oral/written communication skills.
- Ability to prioritize, organize and work efficiently in a high-volume, results-oriented environment.
- Highly organized with strong problem solving skills and a drive for efficiency.
- Ability to work independently, prioritize and manage expectations.
Workplace Location
- Location: This individual must reside within commuting distance from our global headquarters in Baltimore, MD
- Return to Work Designation: Three (3) days a week, the remainder of work week remote

Base Compensation
$176,876.00 - $243,203.40 USD
Most new hires fall within this range and have the opportunity to earn more over time. Initial placement within the salary range, however, is based on an individual's relevant knowledge, skills and experience for the position.
